תנאי שימוש
התנאים האלה חלים על השימוש בפלטפורמת SL Digital Media לניהול מדיה חברתית, בפורטל הלקוחות ובשירות דפי הלינק-בביו והקישורים המקוצרים (יחד: "השירות"), שמפעילה SL Digital Media ("SL", "אנחנו"). שימוש בשירות מהווה הסכמה לתנאים ולמדיניות הפרטיות.
1. מי רשאי להשתמש
השירות מיועד לעסקים: סוכנויות מדיה חברתית, עובדיהן ולקוחותיהן. המשתמש מצהיר שהוא בן 18 לפחות ומוסמך לפעול בשם הארגון שהוא מייצג.
2. חשבונות ותפקידים
סוכנות נפתחת בחשבון של בעלים, שמזמין מנהלים וחברי צוות ומקצה להם הרשאות. בעל החשבון אחראי לפעולות שנעשות דרך החשבונות שהזמין. פרטי ההתחברות אישיים ואין להעביר אותם. הודיעו לנו מיד על גישה לא מורשית.
3. תוכן וקניין
כל מה שהסוכנות מזינה או מעלה לשירות (פרטי לקוחות, תוכן, קבצי מדיה, אסטרטגיה, נתוני חיוב) נשאר בבעלותה או בבעלות לקוחותיה. אתם מעניקים ל-SL רישיון מוגבל לאחסן, לעבד, להציג ולפרסם את התוכן רק לצורך הפעלת השירות לפי ההוראות שלכם. השירות, הקוד והעיצוב שלו הם קניינה של SL.
אתם אחראים לכך שיש לכם את הזכויות לתוכן שאתם מעלים ומפרסמים, כולל תמונות, סרטונים, מוזיקה וסימני מסחר.
הצעות AI. כשהסוכנות מפעילה את הצעות ה-AI, SL מציעה טקסט שנוצר על ידי מודלים של בינה מלאכותית. הצעה עלולה להיות שגויה, לא מדויקת או דומה לתוכן קיים. היא מסומנת "הוצע על ידי AI", לא מתפרסמת ולא מוצגת ללקוח עד שמשתמש בוחר בה (סיכום חודשי של התובנות נשמר כטיוטה שרק הצוות של הסוכנות רואה; פוסטים מתוכנית שהוצעה עם AI נכנסים ללוח רק כשמשתמש מוסיף אותם, כרעיונות, ושום דבר לא מתפרסם בלי אדם), והאחריות לבדוק אותה לפני פרסום היא של הסוכנות. השימוש בהצעות מוגבל בקרדיטים חודשיים לפי התוכנית, ו-SL רשאית לעצור אותו בשימוש חריג.
תמונות שנוצרו עם AI. כשהצעות ה-AI פעילות, אפשר גם לבקש מ-SL ליצור תמונה לפוסט לפי תיאור. את התמונה יוצר מודל התמונות של Google ב-Vertex AI. היא עלולה להיות לא מדויקת או דומה לתמונות קיימות. תמונה שנבחרה נשמרת בספריית המדיה של הלקוח ומסומנת "נוצר עם AI" שם, בקישור האישור ובפורטל, ו-SL מסמנת אותה כתמונה שנוצרה עם AI כשהיא מתפרסמת באינסטגרם או בפייסבוק, במקומות ש-Meta מאפשרת זאת. האחריות לתיאור, לבדיקת התמונה ולשימוש בה, כולל זכויות של אחרים בה, היא של הסוכנות. כל תמונה שנוצרה צורכת קרדיטים; תמונה שנדחתה או שלא נוצרה אינה צורכת.
עיצוב ב-Canva. משתמש שמחבר את חשבון ה-Canva שלו מעצב בו לפי התנאים, הרישיונות והמסלול של חשבון ה-Canva שלו, ו-SL אינה צד להם. עיצוב Canva שמובא לפלטפורמה נשמר בספריית המדיה של הלקוח כמו כל קובץ שהועלה, והאחריות לזכויות בו, כולל רכיבים ותבניות של Canva והרישיונות לשימוש בהם, היא של הסוכנות. Canva עשויה לסרב לייצא עיצוב (למשל כשנדרש רישיון בתשלום או אישור של צוות ה-Canva), ו-SL אינה אחראית לזמינות של Canva.
4. חיבור לאינסטגרם ולפייסבוק
חיבור חשבון אינסטגרם או דף פייסבוק לשירות נעשה דרך ההתחברות של Meta ומחייב שהמחבר הוא בעל החשבון או מוסמך מטעמו. הפרסום דרך SL כפוף לתנאי Meta, ל-Meta Platform Terms ולכללי הקהילה של אינסטגרם ופייסבוק. SL מפרסמת רק תוכן שאושר בשירות, במועד שנקבע. Meta מגבילה את כמות הפרסומים ביום ואת סוגי המדיה; SL מציגה את המגבלות האלה ואינה אחראית לתוכן ש-Meta דחתה. אפשר לנתק חשבון בכל עת לפי הוראות מחיקת הנתונים.
5. שימוש אסור
- פרסום תוכן בלתי חוקי, מטעה, פוגעני, מפר זכויות או מפר את כללי הפלטפורמות.
- ניסיון לגשת לנתונים של סוכנות אחרת או לעקוף את הרשאות הגישה.
- שימוש בדפי לינק-בביו או בקישורים מקוצרים להונאה, לדיוג, לתוכנות זדוניות או לספאם.
- העמסה מכוונת על השירות או הפרעה לפעולתו.
אנחנו רשאים להשעות דף, חשבון או סוכנות שמפרים את התנאים, ולהסיר תוכן שדווח כפוגעני.
6. תוכניות ותשלום
השירות ניתן לפי תוכנית (Starter, Growth, Agency) עם מגבלות מקומות ויכולות שמוצגות בהגדרות. המחיר, תקופת החיוב ותנאי הביטול נקבעים בהסכם עם הסוכנות. אי תשלום עלול להוביל להשעיית החשבון לאחר התראה.
7. זמינות ושינויים
אנחנו שואפים לזמינות גבוהה אך אינם מתחייבים לשירות ללא הפרעות. נודיע מראש, ככל האפשר, על תחזוקה מתוכננת. אנחנו רשאים לשנות או להפסיק יכולות בשירות; שינוי מהותי יימסר בהודעה סבירה מראש.
8. שירותי צד שלישי
השירות נשען על Google Cloud ו-Meta, ולפי בחירת הסוכנות גם על Google Cloud Vertex AI (הצעות AI), Anthropic (Claude) ו-Morning (חשבונית ירוקה). השימוש בשירותים האלה כפוף לתנאיהם. SL אינה אחראית לשינויים, לתקלות או להחלטות של צד שלישי, כולל דחיית פוסטים, שינוי API או ביטול הרשאות.
9. אחריות
השירות ניתן כמות שהוא (as is). במידה המרבית שהחוק מאפשר, SL לא תישא באחריות לנזק עקיף, תוצאתי או אובדן רווח, ואחריותה הכוללת לא תעלה על הסכום ששולם עבור השירות ב-12 החודשים שקדמו לאירוע. אין באמור כדי לגרוע מאחריות שאינה ניתנת להגבלה לפי דין.
10. סיום
סוכנות יכולה לסגור את חשבונה בכל עת. סגירת החשבון מוחקת את כל נתוני הסוכנות ולקוחותיה, כמפורט בהוראות מחיקת הנתונים. אנחנו רשאים לסיים את השירות לסוכנות שמפרה את התנאים, לאחר התראה כשהדבר סביר.
11. דין וסמכות שיפוט
על התנאים חל הדין הישראלי. סמכות השיפוט הבלעדית נתונה לבתי המשפט המוסמכים בתל אביב-יפו.

Terms of Service
These terms govern the use of the SL Digital Media social media management platform, the client portal and the link-in-bio and short link service (together, the "Service"), operated by SL Digital Media ("SL", "we"). Using the Service means you accept these terms and the privacy policy.
1. Who may use the Service
The Service is for businesses: social media agencies, their staff and their clients. You confirm that you are at least 18 and authorised to act for the organisation you represent.
2. Accounts and roles
An agency is opened by an owner account, which invites managers and team members and assigns their permissions. The account owner is responsible for what is done through the accounts they invited. Sign-in credentials are personal and must not be shared. Tell us at once about any unauthorised access.
3. Content and ownership
Everything the agency enters or uploads (client details, content, media files, strategy, billing data) remains the property of the agency or its clients. You grant SL a limited licence to store, process, display and publish that content solely to operate the Service as you direct. The Service, its code and its design are SL's property.
You are responsible for holding the rights to the content you upload and publish, including images, video, music and trademarks.
AI suggestions. When the agency turns on AI suggestions, SL offers text generated by artificial intelligence models. A suggestion may be wrong, inaccurate or similar to existing content. It is labelled "Suggested by AI" and is not published or shown to a client until a user chooses it (a monthly insights summary is kept as a draft that only the agency's team sees; posts from a plan proposed with AI go into the calendar only when a user adds them, as ideas, and nothing is published without a person), and the agency is responsible for checking it before publishing. Use of suggestions is limited by monthly credits according to the plan, and SL may pause it in case of unusual use.
Pictures made with AI. When AI suggestions are on, a user can also ask SL to create a picture for a post from a description. Google's image model on Vertex AI makes the picture. It may be inaccurate or resemble existing images. A picture the user chooses is saved in the client's media library and labelled "Made with AI" there, on the approval link and in the portal, and SL marks it as made with AI when it publishes it to Instagram or Facebook, where Meta supports that. The agency is responsible for the description, for checking the picture and for its use, including any rights others hold in it. Each picture made uses credits; a picture refused or not made uses none.
Designing in Canva. A user who connects their own Canva account designs in it under the terms, licences and plan of that Canva account, to which SL is not a party. A Canva design brought into the platform is stored in the client's media library like any uploaded file, and the agency is responsible for the rights in it, including Canva elements and templates and the licences to use them. Canva may refuse to export a design (for example when it needs a paid licence or the approval of the user's Canva team), and SL is not responsible for Canva's availability.
4. Instagram and Facebook connections
Connecting an Instagram account or Facebook Page goes through Meta's login and requires that the person connecting owns the account or is authorised by its owner. Publishing through SL is subject to Meta's terms, the Meta Platform Terms and the Instagram and Facebook community guidelines. SL publishes only content approved in the Service, at the scheduled time. Meta limits the number of posts per day and the media types it accepts; SL shows these limits and is not responsible for content Meta rejects. An account can be disconnected at any time following the data deletion instructions.
5. Prohibited use
- Publishing content that is unlawful, misleading, abusive, infringing, or against the platforms' rules.
- Attempting to access another agency's data or to bypass access permissions.
- Using link-in-bio pages or short links for fraud, phishing, malware or spam.
- Deliberately overloading the Service or interfering with its operation.
We may suspend a page, an account or an agency that breaches these terms, and remove content reported as abusive.
6. Plans and payment
The Service is provided under a plan (Starter, Growth, Agency) with the seat limits and capabilities shown in Settings. Price, billing period and cancellation terms are set in the agreement with the agency. Non-payment may lead to suspension of the account after notice.
7. Availability and changes
We aim for high availability but do not promise uninterrupted service. We will give notice of planned maintenance where we can. We may change or discontinue features of the Service; a material change will be announced with reasonable notice.
8. Third-party services
The Service relies on Google Cloud and Meta, and, where the agency chooses, on Google Cloud Vertex AI (AI suggestions), Anthropic (Claude) and Morning (Green Invoice). Use of those services is subject to their terms. SL is not responsible for changes, outages or decisions of a third party, including rejected posts, API changes or revoked permissions.
9. Liability
The Service is provided as is. To the fullest extent the law allows, SL is not liable for indirect or consequential damage or lost profit, and its total liability will not exceed the amount paid for the Service in the 12 months before the event. Nothing here limits liability that cannot be limited by law.
10. Termination
An agency may close its account at any time. Closing the account deletes all of the agency's and its clients' data, as set out in the data deletion instructions. We may end the Service for an agency that breaches these terms, after notice where reasonable.
11. Governing law
These terms are governed by the laws of the State of Israel. The competent courts of Tel Aviv-Jaffa have exclusive jurisdiction.
